Application from Name Reservation to Incorporation for Company Limited by Shares and Unlimited Companies

1. Log in to SSM4U and select CRS.

• Click on Application > Register of Company (ROC) > Name Search > Name Search > My Name Reservation Application > Choose relevant Name Reservation > Incorporate.

2. Proceed with the following steps:

(a) Company Details

• Enter the business code and nature of business. A maximum of three (3) business codes may be selected.

• Enter the company's registered address.

• Enter the company’s business address, if available.

(b) Directors

• Enter the director's particulars and residential address and tick the Statement of Compliance by Promoter/Director checkbox.

(c) Members

• Enter the member's particulars, residential address, and shareholding details (cash or otherwise than cash).

(d) Secretary

• Either propose a secretary during Pre-Incorporation or appoint the first secretary during Post-Incorporation.

(e) Information to Other Agencies

• Enter the required employee information and tick the Statement from EPF checkbox.

3. Tick the Declaration checkbox to confirm the information provided.

4. Click Preview Submission to review the application and download a PDF copy for your records.

5. Click Submit & Make payment. An email notification will be sent upon successful submission.

• Download certified certificate that automatically generated by system.

3. Tick the Declaration checkbox to confirm the information provided.

4. Click Preview Submission to review the application and download a PDF copy for your records.

5. Click Submit & Make Payment . An email notification will be sent upon successful submission.

Registration of a Foreign Company without Share Capital

• Select the appropriate agent and identification type.
• Complete the personal details, residential address and office address, if applicable.

(e) Information to Other Agencies

• Enter the required employee information and tick the Statement from EPF checkbox.

3. Tick the Declaration checkbox to confirm the information provided.

4. Click Preview Submission to review the application and download a PDF copy for your records.

5. Click Submit & Make payment. An email notification will be sent upon successful submission.

Application for Change of Foreign Company Name after Registration

The application to change a foreign company name involves two (2) processes as follows:

(A) Process 1: Company Name Search and Reservation Application

To check the availability of a proposed company name, the applicant must:

1. Log in to SSM4U and select CRS.

• Select Application > Register of Company (ROC) > Name Search > Name Search > Change of Company Name.

2. Fill in the Company Registration No. field. Then, click on the Get Company Details tab.

3. Proceed with the following steps:

(i) Application Information

Enter the proposed company name.

(ii) Clarification

Enter up to three (3) relevant business codes.

4. Tick the declaration checkbox to confirm that the information provided is true and accurate.

5. Click Preview Submission to review the application and download a PDF copy for reference.

6. Click Submit & Make Payment to submit the application and proceed with payment. An email notification will be sent upon successful submission.

Fee: RM50.00

(B) Process 2: Application for Change of Company Name

Once the name reservation application has been approved, the applicant must submit the application for a change of company name within thirty (30) days from the date the special resolution is passed.

1. Log in to SSM4U and select CRS.

• Select Application > Register of Company (ROC) > Name Search > Name Search > My Name Reservation Application.

• Select the company that intends to change its name and click Apply.

2. Under the Particulars of Change or Alteration Relating to Foreign Company (Section 567(1)(f)) section, enter the following information:

• New company name (as registered in the origin country).
• Effective date of the name change.

3. Upload a certified copy of Certificate of Change of Name from Origin Country. 

4. Tick the declaration checkbox to confirm that the information provided is true and accurate.

5. Click Preview Submission to review the application and download a PDF copy for reference.

6. Click Submit & Make Payment to submit the application and proceed with payment. An email notification will be sent upon successful submission.

Registrar's Direction to Change a Company Name under Section 29 of the Companies Act 2016

Under subsection 29(1) of the Companies Act 2016, the Registrar has the power to direct a company to change its name if he believes on reasonable ground that a name under which the company was registered should not have been registered.

Upon receipt of the Notice of Instruction to Change Name, the company is given a period of 60 days or a further period permitted by the Registrar, to comply with the instruction.

If the company fails to comply with the instructions, the Registrar has the power under subsection 29(2) of the Companies Act 2016 to change the company name to the company registration number. 

Example:
        ABS HOLDINGS SDN. BHD.  ​ →​   ​200801047015 SDN.BHD.

If the company wishes to make a change of company name in the future, the company will need to go through the change of company name process in accordance with the provisions of Section 28 of the Companies Act 2016.

Applications for change of name shall be submitted through CRS by logging in to SSM4U.

Application for Name Reservation by Reusing a Former Company Name by a New Applicant

The reuse of a previously approved reserved company name (former name) by a new applicant is permitted, subject to the following conditions:

1. If the former name is no longer in use and has not been used for more than 12 months, the name may be reserved and used by a new applicant without obtaining a consent letter from the previous applicant who had reserved or used the name.
2. If the former name is still within the 12-month period, the new applicant must obtain a consent letter from the previous applicant. The consent letter must clearly state that the previous applicant consents to the reuse of the former name and does not intend to reserve or use that name again.

Applications for name reservation shall be submitted through CRS by logging in to SSM4U.

Company Names Deemed Undesirable or Unacceptable by the Registrar

On the application for name reservation, the Registrar may determine that a name is undesirable or unacceptable if:

1. It contains word(s) obscene in nature.
2. It is contrary to public policy.
3. It is likely to offend any section of the community or any religion.
4. It is misleading as to the identity, nature, object, or purpose of the company, or in any other manner.
5. It contains any controlled government slogan.

General Guidelines for Company Name Reservation

When applying for a company name reservation, applicants should ensure that the following requirements are met:

1. Correct spelling and proper use of grammar. Example: KEJURUTERAAN MEWAH SDN. BHD., BALANCE RESOURCES SDN. BHD.

2. The use of a combination language of Malay and English is permitted provided it is used to describe the nature of the business and shall follow the correct grammar. Example: MAJU CONSTRUCTION SDN. BHD., AWESOME HEALTH CLINIC SDN. BHD., OCEAN FANTASY SDN. BHD.

3. If a name contains words from languages other than Malay or English, the meaning of those words must be provided.

4. The proposed name must not be offensive, potentially offensive to the public.

5. Names must not resemble or contain elements associated with religion.

6. Refrain from using overly general words. Example: BEAUTIFUL MALAYSIA SDN. BHD., AHMAD ADAM (M) SDN. BHD. PUNCAK ALAM SDN. BHD.

Applications for name reservation shall be submitted through CRS by logging in to SSM4U.

Application for Name Reservation by Reusing the Name of a Dissolved Company

The reuse of the company name which has been dissolved through the act of striking off or court order/voluntary winding up is allowed, subject to the availability of the name and the following conditions:

1. After seven (7) years from the date of dissolution through striking off the company under subsection 555(1) of the Companies Act 2016; or
2. After two (2) years from the date of dissolution by court order/voluntary winding up under subsection 535(1) of the Companies Act 2016.

Applications for name reservation shall be submitted through CRS by logging in to SSM4U.

Renewal of a Control Word Application under the Companies Act 2016

1. Log in to SSM4U and select CRS.

• Select Application > Register of Company (ROC) > Name Search > Control Word > My Control Word Application.

2. The list of Control Word applications will be displayed. Click Renew on the Control Word application that you wish to renew.

3. Proceed with the following steps:

(a) Application Information

• Update the Trademark Start Date and Trademark End Date

(b) Supporting Documents

• If the applicant is a Trademark Owner or Body Corporate, attach the trademark certificate as a mandatory supporting document.
• If the applicant is a Trademark Owner and the trademark is a foreign trademark, attach an endorsement letter issued by MyIPO.
• If the applicant is a Body Corporate and the trademark is owned by another party, attach a letter of consent from the trademark owner as a supporting document.

4. Tick the declaration checkbox to confirm that the information provided is true and accurate.

5. Click Preview Submission to review the application and download a PDF copy for reference.

6. Click Submit & Make Payment to submit the application and proceed with payment. An email notification will be sent upon successful submission.

• Masukkan kod perniagaan dan jenis aktiviti perniagaan. Maksimum tiga (3) kod perniagaan boleh dipilih.
• Masukkan alamat berdaftar syarikat.

(c) Directors

• Masukkan butiran pengarah dan alamat kediaman.
• Tandakan Statement of Compliance by Promoter/Director checkbox.

(d) Members

• Masukkan butiran ahli dan alamat kediaman.
• Isikan maklumat pegangan saham sama ada:
  • Tunai (Cash); atau
  • Selain Tunai (Otherwise Than Cash).

(e) Secretary

Sama ada mencadangkan setiausaha syarikat semasa pemerbadanan (Pre-Incorporation) atau melantik setiausaha syarikat pertama selepas pemerbadanan (Post-Incorporation).

(f) Information to Other Agencies

Masukkan maklumat pekerja yang diperlukan dan tandakan Statement from EPF checkbox.

3. Tandakan declaration checkbox untuk mengesahkan bahawa maklumat yang diberikan adalah benar dan tepat.

4. Klik Preview Submission untuk menyemak dan memuat turun permohonan dalam format PDF.

5.  Klik Submit & Make Payment untuk menghantar permohonan dan meneruskan pembayaran. Notifikasi e-mel akan dihantar setelah permohonan berjaya dikemukakan.

Nota:
